Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you or your organization ("Client", "you") and Revogix Technologies LLC ("Revogix", "we", "us"), governing your access to and use of our website, AI automation consulting, custom engineering, and workflow deployment services.

2. Billing & Delivery

Revogix Technologies LLC and Reyaa Technologies operate as partner entities: Revogix Technologies LLC is the billing partner for Reyaa Technologies, handling invoicing and payment processing for its US-based clients, while Reyaa Technologies is the development partner for Revogix Technologies, responsible for the design, development, and delivery of all services.

By engaging our services or executing a Statement of Work (SOW), you acknowledge and accept this operational and billing structure.

3. Scope of Services & Statements of Work

Specific project deliverables, milestones, delivery timelines, and fees are defined in individual Statements of Work (SOW) or proposal agreements executed between Client and Revogix Technologies LLC. Any scope modifications must be mutually agreed upon in writing via an addendum or change order.

4. Invoicing, Payments & Taxes

All fees are quoted and payable in United States Dollars (USD) unless explicitly agreed otherwise. Invoices issued by Revogix Technologies LLC are due upon receipt or according to the payment schedule set forth in your SOW.

Clients are responsible for any applicable state, local, or federal taxes associated with their purchase of services, excluding taxes based on Revogix's net income.

5. Intellectual Property Ownership

Upon full payment of all fees due under the applicable SOW, all custom automation code, custom prompts, workflows, and deliverables created specifically for the Client shall become the sole and exclusive intellectual property of the Client. Pre-existing proprietary tools, frameworks, or open-source components remain the property of their respective owners.

6. Confidentiality & Data Security

Both parties agree to protect and keep confidential all proprietary business information, API keys, customer lists, and technical data disclosed during the course of the engagement. Neither party will disclose confidential information to any third party without prior written consent.

7. Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, consequential, or punitive damages arising from the use or inability to use the services. Revogix's total aggregate liability shall not exceed the total fees paid by Client under the applicable SOW in the preceding 3-month period.
